Terms of Service
Effective date: July 29, 2026. Please read these Terms of Service (“Terms”) carefully before using OriginQR.
1. Agreement to Terms
By creating an account, accessing, or using the OriginQR website, dashboard, APIs, or companion iOS application (together, the “Service”), you agree to be bound by these Terms. If you are using the Service on behalf of a business or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree to these Terms, do not use the Service.
2. Description of the Service
OriginQR is a self-serve software platform that helps small and mid-size consumer packaged goods (CPG) brands create, host, and manage GS1 Digital Link-compliant product identifiers; generate scannable 2D codes; configure dynamic routing of scanned codes to destinations you choose; and record product-level data such as GTINs, lot/batch codes, expiration dates, and recall-status flags. OriginQR also offers an iOS companion application for scanning and validating codes.
3. Accounts
You must provide accurate, current information when creating an account and keep your login credentials confidential. You are responsible for all activity under your account. Notify us promptly of any unauthorized use.
4. Subscription Plans, Billing, and Cancellation
OriginQR offers paid subscription tiers, billed in advance on a recurring basis through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on file for the applicable fees, plus any taxes, each billing period until you cancel.
You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law. We may change subscription pricing on a going-forward basis with reasonable advance notice to active subscribers. If a payment fails, we may suspend access to paid features until payment is resolved.
5. Free Trials
We may offer a free trial period. Unless you cancel before it ends, your subscription will automatically convert to a paid plan and your payment method will be charged. Trial eligibility may be limited to one per brand or business, and we reserve the right to detect and prevent trial abuse.
6. Your Data and Content
You retain ownership of the product, brand, and business data you input into OriginQR, including GTINs, lot codes, expiration dates, and destination URLs (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to provide the Service to you.
You are solely responsible for the accuracy of your Customer Data. OriginQR resolves and displays what you enter; we do not independently verify GTIN ownership, lot-code accuracy, expiration dates, or recall status. Errors in the data you provide can mislead consumers or retail partners, and you agree that OriginQR is not responsible for losses arising from inaccurate Customer Data you supplied.
7. Not a Substitute for Regulatory Compliance
OriginQR is a tool to help you implement GS1 Digital Link identifiers and 2D barcodes; it does not by itself guarantee compliance with any law, regulation, or industry program, including GS1 standards, retailer requirements, the GS1 US Sunrise 2027 initiative, or the FDA’s FSMA 204 traceability rule. You are responsible for determining what regulatory and retailer requirements apply to your products and for confirming your use of the Service satisfies them, including by consulting GS1, your retail partners, or qualified counsel as needed.
8. Recalls and Safety-Critical Information
If you use OriginQR to display recall notices or other safety-related information, you acknowledge that the Service is provided without any uptime guarantee (Section 10) and should not be your sole or primary channel for communicating a product recall or safety issue. Maintain independent recall-notification processes as required by law or your regulator.
9. Acceptable Use
You will not use the Service to: violate any law; infringe another party’s intellectual property or privacy rights; upload malicious code; misrepresent product identity, origin, or safety information; or attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service.
10. Service Availability
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. The Service may be unavailable for maintenance, updates, or causes outside our reasonable control.
11. Third-Party Services
The Service relies on third-party infrastructure, including Google Firebase / Google Cloud Platform (hosting, database, authentication, and serverless functions), Stripe (payment processing), and Netlify (website hosting), and may embed third-party tools such as a customer chat widget. Your use of those third parties’ services is also subject to their own terms.
12. Intellectual Property
OriginQR and its licensors own all right, title, and interest in the Service, including its software, design, and trademarks, excluding your Customer Data. Nothing in these Terms transfers any such ownership to you.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIGINQR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
15. Indemnification
You agree to indemnify and hold OriginQR harmless from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law.
16. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms and do not cure the breach within a reasonable period after notice. Upon termination, we will make a reasonable effort to let you export your Customer Data for a limited period before deletion.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (such as an in-app notice or email) before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
18. Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws principles, unless applicable law requires otherwise.
